Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Wagent ("we", "us", or "our"), the operator of the hirewagent.com platform and all associated services (collectively, the "Service").

By accessing, registering for, or using the Service, you expressly confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You represent that you are at least 16 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Wagent provides a software-as-a-service (SaaS) platform that enables businesses to deploy AI-powered agents across third-party messaging and communication channels, including but not limited to WhatsApp, Instagram, Telegram, Email, and SMS (collectively, "Connected Channels").

The Service includes tools for agent configuration, knowledge base integration, live inbox management, team collaboration, analytics, and automated conversation handling. Features and availability may change over time at our sole discretion.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To use the Service, you must create an account and provide accurate, current, and complete information. You agree to maintain and update your information to keep it accurate.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at wagent.ai@proton.me if you become aware of any unauthorised use of your account.

We reserve the right to terminate accounts that contain inaccurate information, violate these Terms, or engage in fraudulent activity.

Wagent allows you to connect your accounts from third-party platforms such as WhatsApp, Instagram, Telegram, Gmail, and SMS providers ("Third-Party Platforms") to the Service.

Your Responsibility for Platform Terms Compliance: By connecting a Third-Party Platform, you represent and warrant that you have the authority and right to connect that account and that your use of Wagent in connection with that platform is consistent with the respective platform's terms of service, usage policies, and applicable guidelines.

No Guarantee Against Account Actions: Third-Party Platforms may, at their sole discretion and without notice, take action against accounts that use automation, including but not limited to: warnings, temporary restrictions, permanent bans, or account termination. These decisions are made entirely by the respective platforms and are outside Wagent's control or influence.

Limitation of Liability for Platform Actions: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAGENT EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM AGAINST YOUR ACCOUNT, INCLUDING BUT NOT LIMITED TO ACCOUNT RESTRICTION, SUSPENSION, OR PERMANENT TERMINATION, WHETHER OR NOT SUCH ACTION IS RELATED TO YOUR USE OF THE WAGENT SERVICE. THIS DISCLAIMER APPLIES REGARDLESS OF WHETHER WAGENT WAS ADVISED OF THE POSSIBILITY OF SUCH OUTCOMES.

We invest considerable effort in following best practices for automation, including rate limiting, human-like interaction patterns, and respecting platform guidelines. However, we make no warranty that your use of the Service will not result in enforcement action by any Third-Party Platform.

The Service utilises third-party artificial intelligence technologies, including those provided by Google LLC (Gemini API), to power automated conversational agents on your behalf.

Nature of AI Output: AI-generated content is inherently probabilistic and context-dependent. Automated responses produced by AI agents operating through the Wagent platform may be inaccurate, incomplete, inappropriate, misleading, or otherwise unsuitable for a given context. You acknowledge and accept that no AI system is infallible and that AI outputs may not always reflect factual accuracy, legal compliance, or your desired business tone.

Your Responsibility to Review AI Behaviour: You are solely responsible for configuring, testing, reviewing, and monitoring the behaviour of AI agents you deploy through the Service. This includes establishing appropriate knowledge bases, persona guidelines, escalation protocols, and human oversight mechanisms.

Disclaimer for AI Errors: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAGENT SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, HARM, OR LEGAL LIABILITY HOWSOEVER ARISING FROM OR IN CONNECTION WITH INACCURATE, MISLEADING, INCOMPLETE, INAPPROPRIATE, OR OTHERWISE ERRONEOUS AI-GENERATED OUTPUTS, INCLUDING WITHOUT LIMITATION ANY DIRECT OR INDIRECT DAMAGES RESULTING FROM CUSTOMER MISRELIANCE ON AUTOMATED RESPONSES.

Third-Party AI Providers: Use of the Service involves transmission of data to Google LLC for AI processing. Such processing is governed by Google's Privacy Policy (https://policies.google.com/privacy) and the Gemini API Additional Terms of Service. By using the Service, you acknowledge and consent to this processing.

"User Content" means all data, documents, prompts, configurations, and information you submit to the Service, including knowledge base materials.

You retain all ownership rights in your User Content. By submitting User Content, you grant Wagent a limited, non-exclusive, worldwide, royalty-free licence to use, store, process, and display your User Content solely for the purpose of providing the Service to you.

You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content does not violate any applicable laws or regulations.

Wagent's platform, software, branding, and underlying technology are the exclusive property of Wagent and its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or other distinctive marks.

You agree not to use the Service to:

— Send unsolicited commercial messages (spam) in violation of applicable law or platform policies
— Impersonate any person, entity, or brand without authorisation
— Harass, threaten, or abuse any individual or group
— Distribute malware, phishing content, or other malicious material
— Engage in illegal activities, including fraud, money laundering, or unauthorised data collection
— Circumvent, disable, or interfere with security features of the Service
— Resell, sublicence, or otherwise commercialise access to the Service without our written authorisation
— Conduct competitive analysis or reverse-engineer any aspect of the Service
— Violate the terms of service of any Connected Channel or Third-Party Platform

We reserve the right to suspend or terminate your access without notice for any violation of this Acceptable Use Policy.

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) depending on your chosen plan.

Payments are processed by Polar (polar.sh). By subscribing, you authorise recurring charges to your payment method. You are responsible for ensuring your payment details remain current.

Cancellation: You may cancel your subscription at any time. Upon cancellation, your access to paid features will continue until the end of the current billing period. We do not provide pro-rated refunds for unused portions of a subscription period except where required by applicable law.

Changes to Pricing: We reserve the right to change subscription pricing at any time with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAGENT EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

— IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
— WARRANTIES AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR OUTPUT GENERATED BY THE SERVICE OR ITS AI COMPONENTS
— WARRANTIES THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION, ERRORS, OR SECURITY VULNERABILITIES
— WARRANTIES REGARDING THE CONTINUED AVAILABILITY OF ANY THIRD-PARTY PLATFORM INTEGRATION

Some jurisdictions do not permit exclusion of implied warranties; in such cases, our liability is limited to the minimum extent required by law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAGENT, ITS OPERATORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

— INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
— LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES
— DAMAGES ARISING FROM THIRD-PARTY PLATFORM ACTIONS, INCLUDING ACCOUNT RESTRICTIONS OR BANS
— DAMAGES ARISING FROM AI-GENERATED ERRORS, MISINFORMATION, OR INAPPROPRIATE RESPONSES
— DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WAGENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE LIMITATION OF LIABILITY IS NOT PERMITTED, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT ALLOWED. IN ALL OTHER CASES, OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES PAID BY YOU TO WAGENT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED EUROS (€100).

You agree to indemnify, defend, and hold harmless Wagent and its operators, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

— Your violation of these Terms
— Your User Content or data you submit to the Service
— Your use of the Service in violation of any applicable law or third-party rights
— Your use or misuse of AI-generated outputs
— Any action taken against your accounts on Third-Party Platforms resulting from your use of the Service

Either party may terminate this agreement at any time. You may terminate by ceasing to use the Service and deleting your account. We may suspend or terminate your access immediately and without liability if we determine, in our sole discretion, that you have violated these Terms or that continued access poses a risk to the Service, other users, or third parties.

Upon termination, all licences granted to you will immediately cease. We will handle your data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. To the extent that EU consumer protection laws provide additional rights, those rights are preserved.

Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Germany. If you are a consumer resident in the EU, you may also make use of the EU Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr/.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wagent regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.

Modifications: We may update these Terms at any time. Continued use of the Service following notice of updated Terms constitutes your acceptance of the changes.
